Associate General Counsel

Position Description

The Associate General Counsel will be responsible for advising the American Board of Medical Specialties on a variety of legal issues related to the organization’s activities. S/he will work with all parts of the organization, including the various departments, divisions, subsidiaries and affiliates, as well as with the organization’s board of directors, committees, individual certifying member boards, associate members and other stakeholders as delegated by and overseen by the Chief Legal Officer, to ensure they are provided with timely and professional legal counsel. The Associate General Counsel will report to the Chief Legal Officer.

Essential job responsibilities

  • Provide legal expertise across all legal and compliance matters.
  • Conduct legal research and analysis; determine and communicate legal advice regarding the organization to the relevant parties.
  • Draft, review and negotiate contracts, memoranda of understanding and other agreements for a variety of corporate and business transactions, including domestic contracts and international agreements.
  • Develop and maintain legal expertise and provide legal advice and documentation with regard to the activities of the organization in a variety of areas including but not limited to credentialing, standard-setting, corporate governance, not-for-profit organizational status, compliance and taxation, domestic and international transactions, employment law and relationships, intellectual property, anti-trust compliance, and litigation management.
  • Develop, implement and maintain processes and systems for contract automation, management and renewal.
  • Oversee the maintenance of the organization’s legal records.
  • Manage and coordinate internal and external processes, communications, and documentation to ensure compliance with applicable laws and adherence to statutory, regulatory, contractual and other legal obligations.
  • Perform legal research on relevant legal issues impacting the organization and its activities.
  • Educate and advise company executives with regard to legal and risk management issues.
  • Develop internal guidelines and policies on various legal and business issues.
  • Assist in the management and supervision of outside legal resources.

  • Understanding of basic principles of Finance, Accounting, Marketing and Management.
  • Strong time-management, prioritization, and organizational skills.

Education, Training and Experience

  • Juris Doctor Degree from an ABA-approved law school; License to practice law in the State of Illinois.
  • Five to ten years of legal experience advising organizations, either in-house or in a law firm.
  • Experience advising organizations with respect to commercial activities, both in the U.S. and internationally.
  • Must demonstrate a proactive, time-sensitive, results-driven approach in carrying out all duties, obligations and responsibilities.
  • Excellent written and oral communication skills a must.

Special Requirements 

  • Some domestic and international travel required.  (Must have a valid passport.)
  • Experience and proficiency with applications of Microsoft Office.
